Introduction
These
are our Guidelines for coordinating efforts of the Wildemere Beach Association,
Milford, Connecticut.
The
objectives of the Wildemere Beach Association A. To promote and represent the concerns and needs of homeowners within the area described as the boundaries of the WBA regarding, but not limited to: safety, traffic, zoning, housing, beach protection. B. To serve as an information resource to the same. C. To provide a vision for future improvements in the WBA neighborhood. Membership Membership. Membership will be available to all persons who own a residence within the boundaries described and known as WBA. Membership Fees. There is a yearly membership fee of twenty dollars ($20.00) per household, due upon approval of application, renewable annually by first day of February. All fees are non-refundable. Boundaries Of The Association The boundaries of the WBA shall be both sides of Kirkside and Seaflower on the east; north and west parallel to, but not including, Milford Point Road, west all of Ocean and Wildemere, south to east all of Broadway and homes beachside. WBA Meetings Annual Meetings. Three annual meetings shall be held, fall, winter and spring. Special Meetings. Special meetings of the Association may be called by the President or by Association members having twenty percent of the votes in the Association and shall require minimum ten (10) days notice. Place of Meetings. Meetings shall be held at a suitable and location. Notice of Meetings. The Secretary shall notify the members by e-mail or by US mail not less than ten (10) nor more than sixty (60) days in advance of any meeting. The notice of any meeting shall state the time and place of the meeting and the items on the agenda, including the general nature of any proposed amendment to the declaration or Bylaws, any proposal to remove an officer or member of the Board and any budget changes. Waiver of Notice. Any Association member may, at any time, waive notice of any meeting in writing, and such waiver shall be deemed equivalent to the receipt of such notice. Adjournment of Meeting. At any meeting a majority of the Association members who are present at such meeting, either in person or by proxy, may adjourn the meeting to another time. Order of Business. The order of business at all meetings shall be as follows: a) Roll call of executive committee members present. b) Reading of minutes of preceding meeting. c) Treasurer’s report d) Unfinished business e) Election Committee report or Elections, when required f) New Business g) Adjourn meeting Note: Order of business can be interrupted for speakers or special events.
Robert’s Rules of Order shall be the order of
the day. Voting a) Each member shall be deemed one (1) vote. b) Votes allocated to an Association member may be cast pursuant to a proxy duly executed by an Association member. An Association member may revoke a proxy given pursuant to this section only by actual notice of revocation to the person presiding over a meeting of the WBA. The proxy must specify the meeting for which it is valid.
Quorum. Except as otherwise provided in these Guidelines, the Association members present in person or by proxy, at any meeting shall constitute a quorum at such meeting.
Majority Vote. The votes of a majority of the Association members present in person or by proxy at a meeting at which a quorum shall be present shall be binding upon the WBA for all purposes. Officers Designation. The principal officers of the Association shall be the President, the Vice President, the Secretary and the Treasurer, all elected. In order to be an officer, an individual must be a member in good standing of the WBA and must have no commercial interests in the operation of the Association. Election of Executive Committee. Any members of the WBA in good standing are eligible to be elected to the board by a majority vote of general membership. Election of the seven board members will be held annually, alternating 3 positions one year and 4 positions the following year. Officers shall hold office for a term of two years. No term limits are imposed. Also each year, a minimum of two alternate officers will be elected by the next most number of votes. They will be next in line to serve on the executive board if any officers are unable to complete their term of office. At the fall meeting, the election committee (consisting of one officer and two members) shall request candidate applications be submitted for the ballot by such December date as specified by the election committee. The election committee will prepare a ballot of all eligible candidates for each open position. The election committee may annotate a candidate’s previous service to the organization on the ballot. These ballots will be sent to members not less than two weeks before the winter meeting. The committee will present the ballots and voting will take place at the Winter meeting. Executive Committee Members will be elected by majority vote. Removal of Officers. Upon the affirmative vote of a majority of the members any officer may be removed, either with or without cause, and his successor may be elected at any regular meeting, or at any special meeting called for that purpose. Election of Officers: Officers will be elected by the seven member board as follows: President. The President shall be the chief executive officer of the WBA. He shall preside at all meetings of the Association members. He may fulfill the role of Treasurer in the absence of the Treasurer. The President, as attested by the Secretary, may cause to be prepared and may execute amendments to the Bylaws on behalf of the Association following authorization or approval of the particular amendment as applicable. Vice-President. The Vice President shall take the Place of the President and perform his duties whenever the President is absent or unable to act. If neither the President nor the Vice President is able to act, the membership shall appoint some other person to act in the place of the President, on an interim basis. The Vice President shall also perform such other duties as may be imposed upon him by the President. Secretary. The Secretary shall keep the minutes of all meetings of the Association; shall have charge of such books and papers as the Board may direct. The Secretary may cause to be prepared, and may attest to execution by the President, and may execute amendments to the Bylaws on behalf of the Association following the authorization or the approval of the particular amendment as applicable. Upon election annually, the Secretary shall notify in writing, the City Clerk’s Office, of the names, addresses and telephone numbers of the elected officers. Treasurer. The Treasurer shall have the responsibility for WBA funds and securities and shall be responsible for keeping full and accurate finical records and books of account showing all receipts and disbursements, and for the preparation of all required financial data. Compensation. No officer may receive a fee from the WBA for acting as such. Standing Committees. Membership, Planning and Zoning, Social Events, Community Development Block Grant, Erosion, Public Works, Police, Fire, Elections, Newsletter and publicity. The President shall act as representative to the Mayor. Executive Committee. All board members are required to chair at least one standing committee.
